Constitution

1. Name

The organisation will be known as "The Woody Project".

2. Object

The object of The Woody Project is to recycle old computers and pass them on to members of the older generation who have been bypassed by the computer revolution. As well as providing the computer equipment we are also offering ongoing tuition and technical support. No charges are made for our services.

3. Powers

To achieve our objectives we seek to obtain donations of old computers from companies and individuals. Using funds obtained from grants or donations we will service the computers prior to passing them on.

4. Committee

The committee will consist of
  • Chairman
  • Secretary
  • Treasurer
They will be elected by the membership at the first meeting and then annually at the general meeting on or about the anniversary of the first meeting.

5. Meetings

Regular meetings will not be held but a meeting must be called on the following occasions.
  • When it is proposed to spend more than £50 (fifty) on any one single item.
  • To elect a new member of the management committee if it becomes necessary.
  • If there is a proposal to apply for further grants.
  • At the chairman's discretion.
  • Annually.
A quorum will be valid if 50% or more of the members are present. Voting will be by simple majority of the members present with the chairman having the casting vote in the event of a tie. Members will be given seven days notice of meetings via email.

6. Membership

Membership is open to anyone who is interested in our objectives and is willing to help. It is our hope that recipients of our equipment become involved with the project, their views are important.

7. Payments and Benefits

No member will receive payment or benefit, apart from the equipment we give, for their time and efforts spent on the project. Reasonable expenses may be paid if agreed by the committee beforehand. Computer consumables for those servicing equipment, not recipients, will be provided from the project funds.

8. Dissolution Clause

If the project is wound up assets and funds are to be passed to any group having similar aims i.e. providing computers for the under privileged. If such a group cannot be found the assets should be sold at the best price possible and all funds passed to Whitstone House Amenities Fund.

This constitution adopted by the management committee at a meeting held at the Red Lion PH, Dereham, 2pm Sunday 20 November 2005.
